Product purchases are governed by a separate supply agreement or purchase order between Soarce and the purchasing entity. These Terms do not constitute a contract for the sale of goods. Pricing, payment terms, delivery schedules, minimum order quantities, and product specifications are established in the applicable supply agreement.
All prices quoted on our Site or in communications are in United States Dollars ($) unless explicitly stated otherwise. Prices are subject to change without notice and do not include shipping, taxes, or duties unless specified.
For established customers with approved credit, standard payment terms are Net 30 from the date of invoice. For new customers, we may require prepayment or payment upon delivery until a credit relationship is established. Late payments are subject to a service charge of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower.
The Site and its original content, features, and functionality are owned by Soarce and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes our company name, logos, product names (NF-400, NC-200, and related designations), website design, text, graphics, images, and technical articles.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:
Technical data, material data sheets, test reports, and certificates of analysis provided by Soarce are intended for use in evaluating and specifying our materials. You may use this data in your own engineering documents, material specifications, and qualification reports. You may share this data with your customers and end users as needed for material traceability and specification compliance.
You may not alter, falsify, or misrepresent our technical data. If you reference Soarce data in published documents, you must attribute the data to Soarce and specify the product grade and batch number from which the data was obtained.
"Soarce," "NF-400," "NC-200," and the Soarce logo are trademarks of Soarce. You may not use these trademarks without our prior written permission, except for purposes of accurately identifying our products in the normal course of trade (nominative fair use).
The technical information provided on our Site and in our material data sheets is based on testing conducted in our laboratory under controlled conditions. This information is provided as a guide for evaluating our materials and is not a guarantee of performance in your specific application.
Material properties can vary based on processing conditions, part geometry, environmental exposure, and other factors beyond our control. You are responsible for conducting your own testing to verify that our materials meet your application requirements. Soarce does not accept responsibility for designs or applications based solely on our published data without independent verification by the user.
Test results reported on certificates of analysis represent the properties of the specific production batch tested. While we maintain process controls to ensure batch-to-batch consistency, individual batches may vary within specification limits. Historical data and typical values are not guarantees of future production.
THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOARCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SOARCE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOARCE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF THE INFORMATION PROVIDED ON THE SITE.
WITH RESPECT TO PRODUCTS SOLD UNDER A SEPARATE SUPPLY AGREEMENT, WARRANTIES ARE LIMITED TO THOSE EXPRESSLY SET FORTH IN THAT AGREEMENT. IN THE ABSENCE OF A WRITTEN SUPPLY AGREEMENT, PRODUCTS ARE SOLD WITH A LIMITED WARRANTY THAT THEY WILL CONFORM TO THE SPECIFICATIONS STATED ON THE APPLICABLE MATERIAL DATA SHEET AT THE TIME OF SHIPMENT.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOARCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, ANY CONTENT ON THE SITE, OR ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE.
IN NO EVENT SHALL SOARCE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SITE EXCEED THE AMOUNT YOU HAVE PAID TO SOARCE, IF ANY, FOR ACCESSING THE SITE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
FOR PRODUCT LIABILITY CLAIMS ARISING FROM PRODUCTS SOLD UNDER A SUPPLY AGREEMENT, LIABILITY IS LIMITED TO THE TERMS OF THAT AGREEMENT. IN THE ABSENCE OF A WRITTEN AGREEMENT, SOARCE'S TOTAL LIABILITY FOR PRODUCT CLAIMS SHALL NOT EXCEED THE PURCHASE PRICE OF THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN THOSE JURISDICTIONS, THE ABOVE EXCLUSIONS AND LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Soarce, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) your use of our materials in applications for which they were not recommended or specified.
Our materials are manufactured in the United States and may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR). You agree that you will not export, re-export, or transfer our products or technical data in violation of applicable export control laws. You represent that you are not located in, or a national or resident of, any country subject to U.S. trade sanctions, and that you are not listed on any U.S. government restricted party list.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction and venue of those courts.
Before initiating any legal proceeding, the parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of at least 30 days. Written notice of the dispute, including a description of the dispute and the relief sought, must be sent to the other party before initiating formal proceedings.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Soarce regarding your use of the Site. These Terms do not alter or supersede any written supply agreement, purchase order, or other commercial agreement between you and Soarce for the purchase of products.
The failure of Soarce to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of a provision of these Terms will be effective only if in writing and signed by an authorized representative of Soarce.
Soarce shall not be liable for any failure or delay in performing its obligations under these Terms (including product delivery under any linked supply agreement) due to circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, epidemics or pandemics, government actions or regulations, labor disputes, supply chain disruptions, transportation failures, utility outages, or raw material shortages. In such events, Soarce's obligations shall be suspended for the duration of the force majeure event, and deadlines shall be extended accordingly.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Soarce may assign its rights and obligations under these Terms to any affiliate or successor entity without your consent, provided that the assignee agrees to be bound by these Terms.
